Terms & Conditions
All prices and delivery times are subject to changes and to alterations without notice. Our invoice shall be deemed an order confirmation. All offers are always subject to alteration without prior notice unless expressly quoted firm. Our prices are quoted ex place of shipment excluding insurance and delivery expenses unless expressly quoted firm. The value-added tax is charged according to the rate stipulated by law.
We reserve the right to effect part shipments and invoice them separately. In the case that the fulfilment of delivery obligations on our or our supplier's part has been rendered completely or partly impossible, delayed or substantially obstructed due to causes beyond our reasonable control (e. g. force majeure, strike, lock-out, interruption, shut-down, material shortage etc.) we shall be entitled to extend delivery periods in a reasonable manner or to withdraw from the contract excluding any claim for damages against us. Unless otherwise provided by the contract the goods shall be deemed sold ex place of shipment. Unless otherwise provided the risk shall pass to buyer upon dispatch or upon notice that the goods are ready to be picked up. Unless otherwise agreed the goods will be insured by us against transportation risks at buyer´s costs. In case of transportation damage or loss, a report by a post or railway authorities or a corresponding statement by the forwarding agent respectively, shall be obtained and sent in immediately.
Payments received by us are always set off against our longest outstanding debts. In the event that the credit period is exceeded preferential interest amounting to 8 per cent over the Basic rate charged by the Deutsche Bundesbank. Drafts, cheques and other forms of payment are only accepted for fulfilment. For all these forms of payment applies the day as day of payment, when the RfQ- Medizintechnik GmbH & Co KG can dispose of the amount. In each case all costs of payment are to the debit of buyer. We reserve title to the goods until all contractual debts have been settled by the buyer (goods under reservation).
The Buyer may, subject to revocation at any time, resell the goods under reservation in a regular transaction. As of now, buyer assigns to us his future debts due to him for the resale of the goods under reservation and all rights connected therewith. Until revocation, the buyer shall be entitled to collect the debts so assigned. All costs incurred by us in the collection of debts resulting from resale shall be borne by the buyer. Unless other provided by law, Tuttlingen shall be the place of performance and jurisdiction. The contract shall be subject to the laws of the Federal Republic of Germany with the exclusion of the Standardised Law of Purchase of The Hague. Should any or several provisions of the contract prove ineffective, the contract as a whole shall remain operative. For any ineffective provision a legally admissible regulation corresponding to its economic purpose shall be applied. Several individuals acting as a buyer will be held liable as joint debtors.
